Affiliate Program Terms & Conditions

These Terms & Conditions (“Terms”) govern your participation in the Affiliate Program (“Program”) operated by [kineoshop.com] (“we”, “us”, or “our”). By submitting an application to become an Affiliate (“you” or “Affiliate”), you agree to be bound by these Terms.

1. Enrollment and Approval

1.1. Application Review. All affiliate applications are manually reviewed. Submission of an application does not guarantee approval.

1.2. Approval Criteria. We reserve the right to accept or reject any application for any reason, including but not limited to:

• Your website/social media content relevance to the motorcycle industry
• Quality and authenticity of your audience engagement
• Alignment with our brand values

1.3. Notification. You will receive an email notification regarding your application status within 5 business days.

2. Commissions and Payments

2.1. Commission Rate. Affiliates earn [15-20]% commission on each Successful Referral (as defined in Section 3).

2.2. Qualifying Products. Commission applies to all Kineo wheels and related products sold through our website, unless otherwise specified.

2.3. Non-Qualifying Transactions. No commission will be paid for:

• Orders that are canceled, returned, or refunded
• Orders placed by the Affiliate themselves or their immediate family members
• Orders that are fraudulent or violate our terms of service

2.4. Cookie Duration. The cookie tracking period is 90 days from the customer’s initial click on your affiliate link.

2.5. Refund Grace Period. Due to the custom-made nature of our products (production lead time 30+ days), commissions are held for a 14-day grace period after customer confirms receipt of goods. This ensures all returns are processed before commission payout.

2.6. Minimum Payout. The minimum payout threshold is $300 (or currency equivalent).

2.7. Payment Schedule. Payouts are processed monthly, within 15 business days after the end of each calendar month.

2.8. Payment Method. Payments are made via [PayPal / Stripe / Bank Transfer] . You are responsible for providing accurate payment information and any associated fees.

3. Definition of “Successful Referral”

A “Successful Referral” means:

1. A customer clicks your unique affiliate link and makes a purchase on our website within the 90-day cookie window;
2. The order is fully paid and delivered;
3. The order exceeds our 7-day return policy period without any return request; and
4. The transaction is not classified as fraudulent or in violation of these Terms.

Important: Because our products are custom-made (production: ~30 days, shipping: ~10 days), commission is calculated only after the customer confirms receipt of goods AND the 14-day refund grace period has passed. This typically means commissions are confirmed 45-60 days after the initial order.

4. Prohibited Activities

You are strictly prohibited from engaging in any of the following activities:

4.1. Spam. Sending unsolicited emails, messages, or comments that promote our products.

4.2. Paid Search/Brand Bidding. Bidding on keywords or phrases that include “Kineo Wheels”, “Kineo”, or any misspellings/variations thereof on search engines (Google, Bing, Yahoo, etc.).

4.3. Coupon/Loyalty Sites. Posting affiliate links on coupon websites, loyalty sites, or any platform whose primary purpose is to distribute discounts without original content.

4.4. Ad Fraud. Using bots, click farms, or any automated means to generate artificial clicks or sales.

4.5. Misrepresentation. Making false or misleading claims about our products, pricing, or promotions.

4.6. Copyright Infringement. Using our trademarked logos, images, or content without proper attribution or in a way that implies endorsement.

4.7. Direct Copying. Creating websites or content that directly copy our product descriptions, images, or other proprietary content without adding significant original value.

5. Affiliate Obligations

5.1. Compliance with Laws. You must comply with all applicable laws, including FTC disclosure requirements (e.g., clearly labeling content as sponsored or including affiliate links).

5.2. Disclosure. You must include a clear and conspicuous disclosure on any page where you promote affiliate links, stating that you may receive compensation.

5.3. Brand Representation. You shall present our brand in a positive, professional manner and shall not engage in any activity that could damage our reputation.

5.4. Content Submission. We may request examples of your promotional content for quality review.

6. Termination

6.1. By Either Party. Either party may terminate this agreement at any time, for any reason, with written notice.

6.2. By Us for Violation. We may immediately terminate your participation and forfeit any unpaid commissions if you violate any provision of these Terms.

6.3. Effect of Termination. Upon termination, you must immediately remove all affiliate links and promotional content related to our brand.

6.4. Post-Termination Commissions. Commissions earned prior to termination will be paid according to the standard payment schedule, provided the underlying transactions remain valid.

7. Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your participation in the Program. Our total liability shall not exceed the total commissions paid or payable to you during the six months preceding the claim.

8. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated via email at least 15 days prior to the effective date. Your continued participation in the Program after the effective date constitutes acceptance of the modified Terms.

9. Independent Contractors

Affiliates are independent contractors. Nothing in these Terms shall be construed to create an employment, partnership, or joint venture relationship.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of France .
